Modification of Acceptable Use Policy

CyrusOne’s Acceptable Use Policy specifies the actions prohibited by CyrusOne. To the extent deemed reasonably necessary by CyrusOne in its good faith business judgment, CyrusOne may amend or supplement the Policies provided however, CyrusOne shall provide Customer with at least ten (10) days advanced written notice of such modifications to the Policies prior to implementing the same. This Acceptable Use Policy covers the Customer’s (and its customers, designated person(s) agents and users) use of and access to CyrusOne’s facilities (e.g., Data Centers), the Customer’s (and its customers, designated person(s) and users) use of CyrusOne’s services, and CyrusOne’s maintenance of the services it provides to Customers.

Access to Enterprise Data Centers

Only those individuals identified in writing by a CyrusOne Customer (the “Customer”) on the Access List (“Designated Persons”) may access Enterprise Data Centers. Customers shall make any modifications to the Access List and the list of Designated Persons via the CyrusOne Customer Portal. The Customer and its Designated Persons may only access that portion of an Enterprise Data Center made available by CyrusOne to the Customer for the placement of Customer’s equipment and use of the Enterprise Data Center Services (the “Customer Area”) unless otherwise approved and accompanied by an authorized CyrusOne employee.

Use of Enterprise Data Center Facility – Expected Conduct at Enterprise Data Centers

The Customer and its representatives agree to adhere to and abide by all security and safety measures established by CyrusOne and set forth in the Customer Support Guide provided by CyrusOne to the Customer. The Customer and its Designated Persons shall not participate in any of the following:

  • Misuse or abuse of any CyrusOne property or equipment, or third-party equipment.
  • Make any unauthorized use of or interfere with any property or equipment of any other CyrusOne Customer.
  • Harass any individual, including CyrusOne personnel and designated person(s) of other CyrusOne Customers.
  • Engage in any activity that is in violation of the law or aid or assist in any criminal activity while on CyrusOne property or in connection with Enterprise Data Center Services.

 

Prohibited Items

The Customer and its designated person(s) shall keep each Customer Area clean at all times. It is each Customer’s responsibility to keep its area clean and clear of debris and refuse.

The Customer shall not, except as otherwise agreed to in writing by CyrusOne:

  • Store any paper/cardboard products or other combustible materials of any kind in the Customer Area (other than equipment manuals). Customers will be notified of the violation and will have 48 hours to remove the material. The Customer will be billed for removal of the material after the 48-hour period. CyrusOne will notify customer prior to entering the cage. Customer will be invoiced at the Smart Hands rate for this service.
  • Bring any Prohibited Materials (as defined below) into any Enterprise Data Center. If found, the customer has 48 hours to remove the material. The Customer will be billed for removal of the material after the 48-hour period. Prohibited Materials include but are not limited to the following and any similar items:
  • Food and drink (which can only be consumed in break rooms).
  • Tobacco products, including e-cigarettes and all vaping products.
  • Hazardous materials.
  • Alcohol, illegal drugs and other intoxicants.
  • Electromagnetic devices that could unreasonably interfere with computer and telecommunications equipment.
  • Explosive or radioactive materials.
  • Photographic or recording equipment of any kind (other than tape backup equipment).
  • Guns, ammunition, fireworks, electric stun guns, Tasers, pepper spray, mace, martial arts weapons/devices or illegal knives. “Illegal knife” means a:
    • Knife with a blade over 5.5 inches.
    • Hand instrument designed to cut or stab another by being thrown.
    • Dagger, including but not limited to a dirk, stiletto or poniard.
    • Bowie knife.
  • Hover boards or self-balancing boards.

 

CyrusOne Customers agree to the following: Any floor tiles that need to be pulled on the Enterprise Data Center floor must be done by a CyrusOne authorized employee. This service will be charged at the then-current Smart Hands rate or specific Customer contracted rate.

All installations of cabinet Power Distribution Units (PDU) to the installed circuits must be done by a CyrusOne authorized employee. CyrusOne does not allow Customers to install the circuits to the PDUs to avoid issues on improper use of redundant features, or cause harm to themselves or the data center. This service will be charged at the then-current Smart Hands rate or specific Customer contracted rate.

Equipment and Connections

Customer Equipment. Each piece of equipment installed in a Customer Area (the “Customer Equipment”) must be clearly labeled with the Customer’s name (or code name, provided in writing to CyrusOne) and individual component identification. Each connection to and from a piece of Customer Equipment shall be clearly labeled with the Customer’s name (or code name provided in writing to CyrusOne) and the starting and ending point of the connection. Customer Equipment must be configured and run at all times in compliance with manufacturers’ specifications, including power outlet, power consumption and clearance requirements. The Customer must use commercially reasonable efforts to provide CyrusOne with at least 48 hours’ notice any time it intends to connect or disconnect any Customer Equipment or other equipment.

Scheduled Maintenance

CyrusOne will conduct routine scheduled maintenance of its Enterprise Data Centers and Enterprise Data Center Services as reasonably required to maintain the Facilities. In the event a mission-critical maintenance situation arises, CyrusOne may be required to perform emergency maintenance.

Online Conduct

Customer Content. The Customer acknowledges that CyrusOne exercises no control whatsoever over the content of the information passing through the Customer’s site(s) and that it is the sole responsibility of the Customer to ensure that the information it and its users transmit and receive complies with all applicable laws and regulations and this Acceptable Use Policy.

Prohibited Activities. The Customer will not, and will not permit any persons (“Users”) using the Customer’s online facilities and/or services, including but not limited to Customer’s website(s) and transmission capabilities, to do any of the following (“Prohibited Activities”):

  • Send unsolicited commercial messages or communications in violation of applicable law or government regulations (“spam”).
  • Engage in any activities or actions that infringe or misappropriate the intellectual property rights of others, including but not limited to using third-party copyrighted materials without appropriate permission and using third-party trademarks without appropriate permission or attribution.
  • Engage in any activities or actions that would violate the personal privacy rights of others, including but not limited to collecting and distributing information about internet users without their permission, except as permitted by applicable laws.
  • Send, post or host harassing, abusive, libelous or obscene materials or assist in any similar activities related thereto.
  • Intentionally omit, delete, forge or misrepresent transmission information, including headers, return mailing and internet protocol addresses.
  • Engage in any activities or actions intended to withhold or cloak the Customer’s or its Users’ identity or contact information.
  • Use CyrusOne connectivity services for any illegal purposes, in violation of any applicable laws or regulations.
  • Assist or permit any persons in engaging in any of the activities described above. If the Customer becomes aware of any Prohibited Activities, the Customer will use its best efforts to remedy such Prohibited Activities immediately, including if necessary limiting or terminating the User’s access to the Customer’s online facilities.

 

Third-Party Actions

At times, actions or inactions caused by third parties (“Third Party Actions”) (e.g., denial of service attacks) can produce situations in which the Customer’s connections to the internet (or portions thereof) or other portions of the customer’s service may be impaired or disrupted.

CyrusOne cannot guarantee that such situations will not occur and, accordingly, CyrusOne disclaims any and all liability resulting from or related to such events, except to the extent such events arise due to CyrusOne’s gross negligence or willful misconduct. In the event that the Customer’s use of the Service or interaction with the internet or such third parties is causing harm to or threatens to cause harm to the network, its operations or the operations of other CyrusOne Customers, CyrusOne shall have the right to suspend without liability the Customer’s services that may be the cause of the disruption or may be adversely impacted by the upset conditions.

CyrusOne will make commercially reasonable efforts to notify the Customer of any such harmful use before suspending the Customer’s service. CyrusOne shall restore Service after it reasonably deems that there is no further harm or threat of harm to the CyrusOne network or its operations, or the operations of other CyrusOne Customers.

Suspension and Termination of Service. CyrusOne shall have the authority to suspend a Customer’s operations in and around the facility, including a suspension of access, if any hazardous condition, unsafe practice or emergency situation arises involving potential loss of life, injury to persons or damage to property. In circumstances where it is not impossible or impractical for CyrusOne to provide notice, CyrusOne shall notify the Customer, providing details including the severity and nature of the danger and the expected resolution time, before suspension. In the absence of advance notice, CyrusOne shall provide notice as soon as reasonably possible thereafter. In addition, CyrusOne reserves the right to suspend and/or terminate a Customer’s Service at any time for any material failure of the Customer, its Designated Persons or its Users to comply with this Acceptable Use Policy.
